Introduction
These Terms and Conditions (hereafter referred to as "Terms") govern the strategic partnership between the participant (hereafter referred to as "Partner") and the Yeah The Girls 40 Plus Community (hereafter referred to as "Community"). By entering into this partnership, the Partner agrees to adhere to the provisions outlined herein.
The Partner acknowledges that any information, advice, or insights exchanged within the context of this partnership shall be treated as confidential. "Confidential information" includes, but is not limited to, business strategies, marketing plans, financial data, and any other proprietary information shared during the partnership. Both parties shall exercise due diligence to safeguard such information and ensure it is not disclosed to any unauthorized individuals. This confidentiality agreement serves to protect the integrity of the partnership and the interests of all parties involved.
The Partner agrees to represent the Enagic business ethically and responsibly within the Community. This includes providing accurate information regarding Enagic products and services. The Partner shall commit to upholding high ethical standards in all business dealings and communications, thereby promoting trust and reliability within the Community.
As a member of the Yeah The Girls 40 Plus Community, the Partner is encouraged to actively participate in community activities and contribute to discussions. Engagement should reflect the values of positivity, support, and collaboration that define the Community. The Partner is expected to respect the diverse perspectives of other members.
The Partner acknowledges that they bear sole responsibility for their business decisions and actions taken within the context of this partnership. While the Community provides tools, resources, and support, it is the Partner’s obligation to utilize these resources effectively and make informed decisions regarding their business operations.
The Yeah The Girls 40 Plus Community, along with its members, shall not be held liable for any losses, damages, or adverse outcomes arising from the Partner’s business decisions or actions taken during the course of the partnership. The Partner assumes all risks associated with their business endeavors and acknowledges that success is contingent upon various factors beyond the Community's control, including but not limited to direct, indirect, and consequential damages.
The Community reserves the right to modify these Terms as deemed necessary. Partners will be notified of any significant changes to ensure continued compliance and understanding of their responsibilities under the partnership agreement.
These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles.
In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the matter through informal discussions. If resolution is not achieved, the parties may pursue mediation or arbitration as an alternative to litigation. The process for initiating mediation or arbitration shall be as follows: either party shall provide written notice to the other party, and the parties shall mutually select a mediator or arbitrator within fourteen (14) days of such notice.
Either party may terminate this partnership upon thirty (30) days written notice to the other party. Upon termination, all obligations and rights under these Terms shall cease, except for those provisions which expressly survive termination.
Any intellectual property developed or shared during the course of this partnership shall remain the sole property of its original owner. The Partner shall not use any trademarks, logos, or materials belonging to the Community without prior written consent. In the event of jointly developed materials, both parties shall agree on ownership and usage rights.
Neither party shall be liable for any failure to perform its obligations under these Terms if such failure results from events beyond its reasonable control, including but not limited to acts of God, war, terrorism, or natural disasters. The affected party shall notify the other party in writing of the occurrence of such events as soon as practicable.
If any provision of these Terms is deemed invalid or unenforceable by a court of law, the remaining provisions shall remain in full force and effect. The parties agree to negotiate in good faith to replace any invalid or unenforceable provision with a valid provision that closely reflects the original intent.
By participating in this strategic partnership, the Partner affirms their acceptance of these Terms and agrees to adhere to the stipulations outlined herein. Should there be any questions or concerns regarding the Terms, the Partner is encouraged to seek clarification from the Community prior to formal acceptance.
